Cоrp is а publicly held, registered cоrpоrаtion. It wаs incorporated 25 years ago and was initially an innovative manufacturer of processors for desk-top personal computers. Corp more recently began making smaller and faster processors for use in laptops, tablets and iPads™ but Corp has been unable to make inroads into the mobile computing processor market. The Corp Board of Directors has investigated acquiring licenses for newer patented technology that allow it to become more competitive in the marketplace. Corp’s CEO, Charlie, is presently negotiating a licensing agreement with QuickPro (“QP”) that he and the Board believe will elevate Corp into the 21st Century processor industry and revive Corp’s revenues. Two days before meeting with Corp’s Board to review the status of the licensing agreement, Charlie was contacted by Sam who expressed an interest in buying out the shareholders of Corp. Sam’s offer would include a significant premium paid to all outstanding stockholders of Corp. Additionally, Sam would use Corp’s existing facilities to manufacture and sell Sam’s own patented processor to mobile computing hardware manufacturers as well as to personal device manufacturers who sell iPhones. Charlie responded that rather than a take over of the company, Charlie would prefer to engage in licensing negotiations that would leave the company intact but with newer technology that would make Corp competitive. Sam knew from recent disclosure filings with the SEC that Corp had substantial operating loss carry-forwards that would be very beneficial to Corp, taxwise. Charlie told Sam to “put it into writing” so that Charlie could present it to the Board. The next day Sam submitted his written letter of intent which included: A premium of 75% to all outstanding stockholders, continued employment to the workforce and lower-to-mid-level managers, the license to the QP processor that Charlie was trying to negotiate, and, a no-shop provision prohibiting the Board from actively seeking competitive bidders for the Corp stock. The following day Charlie met with the Corp Board and presented Sam’s letter of intent. Subsequently, the Board commissioned a valuation opinion that any premium to shareholders over 50% would be good for the shareholders. The fairness opinion from Corp’s attorneys indicated that the objective terms of the offer were fair, but contained a warning that Sam was known to be a corporate raider with a history of acquiring financially unstable companies with favorable tax attributes and valuable assets, moving them into another Sam-owned entity, replacing existing boards of directors with his friends and associates and leaving the corporate shells insolvent customers stranded, and employees without jobs. The Board discussed the fairness and value opinions in light of Sam’s letter of intent and decided that it must resist Sam’s take-over offer. The Board instructed Charlie to make a counter-offer to Sam but Sam told Charlie that the offer was final and that he (Sam) would go directly to the shareholders with his tender offer if the Board declined to recommend it to them. The Board, in compliance with its Bylaws, adopted a resolution that provided for a $1 million severance package to each of the 18 directors if the tender offer received shareholder approval and that Charlie include a license termination provision in the QP agreement if Corp ever became a privately owned, as opposed to publicly owned, corporation.
