Posh Linens And More is incorporated in, and does business in, Hendersonville, Tennessee. While at a product idea conference in Nashville, Beth approaches Markle with a new product idea – a self-drying towel – and Markle states that Posh Linens And More would be interested. However, rather than purchasing the patent from Beth and presenting the idea to the Posh Linens And More board, Markle secretly sends the sample self-drying towel to a foreign country, has it copied and manufactured, puts a new name on the towel, and sells it under the corporate name Markle Incorporated. Markle has committed the tort of patent infringement, along with, perhaps, other violations of the law. Explain (name and define) TWO specific duties of loyalty, that are discussed in the lecture and textbook that Markle has violated. During discovery, Beth learns that Markle Incorporated maintains no assets, and seems to be used solely for Markle to collect profits from the sale of the towel, which he then transfers to his personal checking account.
