Rаdiо Cоrpоrаtion (“Rаdio”) operates twenty radio stations under a “Radio License.” Diego is Radio’s sole shareholder, director and officer. Diego also serves as an outside director of Cable News Corporation (“CNC”), a local cable news broadcaster. Diego’s ownership of Radio is known to CNC and was fully disclosed before they hired him as a director. Sports TV, Inc. (“Sports TV”) owns and operates a television dedicated exclusively to sports coverage on cable television. Sports TV owned a “Sports Radio License” (“SRL”) which it wished to sell since dedicating itself exclusively to a television media platform. Peter, Sports TV’s president, summoned Adam, an agent for Sports TV, and told him to find a buyer for its SRL. Peter explained that Sports TV was looking to sell the SRL for $2 million, and also told Adam that Peter needed to approve any sale. Adam was to simply find a buyer and execute a non-binding letter of intent. Adam thereafter contacted Diego about the SRL, and they signed a letter of intent for Radio’s acquisition of the SRL for $2 million. Adam did not inquire with anyone at CNC about buying the SRL because he believed CNC was only interested in news, not sports. After signing the letter of intent, Diego spoke with CNC’s president, Peggy, about his interest in acquiring the SRL. Peggy told Diego that CNC was probably not interested in the SRL and thus it was fine with her if Diego purchased it for Radio. After speaking with Peggy, Diego called Adam to finalize the deal but Adam told Diego he had another interested buyer who was willing to pay $2.5 million. Diego quickly countered with a $3 million offer but conditioned it upon Adam’s immediate acceptance. Adam tried to reach Peter as he had been instructed but was unable, so he decided to move forward anyway with Diego, and signed a purchase agreement for Radio’s acquisition of the SRL $3 million. CNC has sued Diego for breach of fiduciary duty for purchasing the SRL through Radio. Discuss the suit and any defenses. (50 points) In response to CNC’s lawsuit, Radio cross-claimed against Sports TV to rescind the purchase agreement, but Peter wants to enforce it. Discuss. (50 points)
