Attоrney Avis is а Cаlifоrniа lawyer hоping to expand his business and attract larger corporate clients. He goes on a marketing spree. First, he rolls out a new online advertising campaign with the slogan: “Hire Avis the Assassin - I guarantee I’ll destroy the other side. First consultation always free! Message me before midnight for a 25% discount.” On his website and Instagram page, Avis posts a glowing testimonial from a former client, Clyde: “Avis won me MILLIONS and saved my business!” (In reality, Avis negotiated a $6,000 settlement for Clyde.) Avis posts this on multiple social platforms. Next, Avis also attends a free financial anxiety support group at a local community center. Several attendees talk about foreclosure threats and mounting debt. After the session ends, Avis approaches the attendees that look the most overwhelmed and stressed and hands them his business cards and tells them: “You need a lawyer right now or you could lose everything. Call me immediately so we can stop the bank before it's too late.” The ad campaign worked. Cameron Chase, CEO of XYZ Corporation, saw the ad on Instagram, and immediately contacts Avis to be his attorney. Cameron was so excited about having a client he immediately says yes to representation before he finds out what Cameron needs a lawyer for.  No engagement letter is signed. Avis never clarifies whether he represents Cameron personally or XYZ Corporation. He begins advising Cameron directly and takes calls from Cameron’s assistant, and staff over at XYZ. One day, the bookkeeper called Avis, and told Avis that the company is being audited by the IRS for tax evasion. He is concerned that the Cameron CEO is doing fraudulent things and would like to speak with Avis. Avis begins preparing to defend XYZ Corp against the IRS. But he then received an email marked “CONFIDENTIAL” from Cameron. “Hey Avis, my company is being audited. The bookkeeper is a stickler and won’t agree to lie. I need to fire him. Help ME protect my assets before anything blows up!” Avis drafts a memo explaining how Cameron could transfer assets to a new company to avoid “personal exposure.” He does not inform XYZ’s board, does not investigate the bookkeeper’s concerns, and never advises Cameron that what he is planning on doing is illegal.  Identify and analyze all ethical issues raised by Attorney Avis’s conduct.
